Manufacturing International Vendor & Storefront Holder Terms and Conditions

These Vendor & Storefront Holder Terms and Conditions (“Vendor Terms”) govern participation by approved vendors, experts, contributors, consultants, service providers, product sellers, digital product creators, strategic partners, and storefront holders (“Vendor,” “you,” or “Storefront Holder”) in the Manufacturing International storefront, marketplace, expert network, and related commerce ecosystem operated by Russell’s Group, LLC and/or its affiliated brands, including MfgInternational.com (“Manufacturing International,” “M I,” “we,” “us,” or “our”).

By applying for, accessing, managing, or participating in an M I storefront, vendor dashboard, product listing, service offering, digital download, marketplace listing, expert profile, or related sales opportunity, you agree to these Vendor Terms.

These Vendor Terms are intended to supplement any separate written agreement, commission agreement, strategic partner agreement, contributor agreement, sponsorship agreement, or other agreement between you and Manufacturing International. If a separate signed agreement conflicts with these Vendor Terms, the signed agreement will control for that specific conflict.


1. Purpose of the M I Storefront Program

Manufacturing International provides a curated platform designed to help manufacturers, industrial businesses, expert-led firms, consultants, solution providers, and selected partners discover trusted expertise, practical resources, services, tools, products, and solutions.

M I storefronts are not open directory listings. Participation is selective and may include access to:

Expert or company storefront pages

Product and service listings

Digital downloads

Training, workshops, or courses

Consulting or professional service offers

Affiliate or partner product placements

Inquiry or lead-generation opportunities

Content and article visibility

Marketplace checkout, where applicable

Commission, referral, or revenue-sharing opportunities

Manufacturing International reserves the right to determine which vendors, offers, listings, products, services, storefronts, badges, categories, placements, and promotional opportunities are accepted, displayed, modified, removed, or declined.


2. Eligibility and Approval

Participation as a Vendor or Storefront Holder is subject to M I review and approval.

Approval is not automatic.

Manufacturing International may evaluate applicants based on factors including, but not limited to:

Manufacturing relevance

Industry experience

Subject-matter expertise

Professional reputation

Quality of products or services

Fit with M I’s audience

Clarity of offer

Business legitimacy

Alignment with M I’s mission

Compliance with these Vendor Terms

M I may approve, decline, suspend, downgrade, upgrade, or remove a Vendor at any time, with or without cause, if M I determines that doing so protects platform quality, user trust, legal compliance, brand integrity, customer experience, or marketplace operations.


3. Vendor Account and Dashboard Access

Approved Vendors may receive access to a vendor dashboard, storefront dashboard, or related account tools.

You are responsible for:

Keeping login credentials secure

Ensuring account information is accurate

Using the dashboard only for authorized purposes

Submitting accurate product, service, and business information

Not sharing your access with unauthorized users

Promptly notifying M I of unauthorized access or security concerns

M I may limit, suspend, or revoke dashboard access at any time.

Dashboard access does not grant ownership of MfgInternational.com, M I storefront templates, marketplace infrastructure, customer data, platform designs, software, page layouts, content systems, or other M I-controlled assets.


4. Storefront Pages and Public Presentation

M I may create or maintain public-facing storefront pages for approved Vendors.

These pages may include:

Vendor or expert name

Company name

Description

Logo or images

Badges or trust indicators

Products or services

Featured offers

Articles or podcasts

Contact forms

Inquiry links

Booking links

Proof points

Testimonials or case studies

Related resources

Manufacturing International retains editorial and presentation control over M I storefront pages, including layout, wording, featured placements, images, badges, internal links, related products, and calls to action.

Vendors may submit content, images, descriptions, updates, and offers for consideration, but M I is not required to publish all submitted materials.


5. Products, Services, and Offers

Vendors may be permitted to submit products, services, digital downloads, consulting packages, training, workshops, affiliate offers, external products, or other offers for review.

All submitted offers must be accurate, lawful, professional, and relevant to the M I audience.

Vendors are responsible for ensuring that their listings accurately describe:

What is being sold or offered

Pricing

Deliverables

Scope of work

Limitations

Timelines

Refund terms, where applicable

Requirements from the buyer

Licensing or usage restrictions

Any third-party dependencies

Any disclaimers or eligibility requirements

M I may edit, reject, categorize, delay, unpublish, or remove any offer that M I determines is unclear, misleading, low quality, irrelevant, risky, outdated, duplicative, noncompliant, or inconsistent with the platform.


6. Product Approval and Publication

Submitting a product, service, download, or offer does not guarantee publication.

Unless M I separately grants self-publishing rights, submitted offers may require M I approval before becoming publicly visible.

M I may review offers for:

Quality

Fit

Pricing clarity

Accuracy

SEO/AEO structure

Images

Product category

Legal or compliance concerns

Refund language

Professional presentation

Buyer expectations

M I may modify titles, descriptions, categories, images, formatting, calls to action, metadata, and other presentation elements to improve clarity, quality, search performance, user experience, or platform consistency.


7. Vendor Responsibilities

Vendors are responsible for:

Providing accurate information

Maintaining professional conduct

Fulfilling purchased products or services as described

Delivering digital products, services, consultations, or other deliverables in a timely manner

Responding to legitimate buyer or M I inquiries

Honoring stated terms

Maintaining necessary licenses, certifications, permissions, or business registrations

Complying with applicable laws, regulations, and industry standards

Avoiding deceptive, misleading, infringing, or harmful claims

Protecting confidential information

Not misusing customer information

Not interfering with platform operations

Not attempting to bypass M I payment, referral, tracking, or commission systems

Vendors may not use M I to promote unlawful, unsafe, fraudulent, deceptive, discriminatory, infringing, or inappropriate products, services, claims, or business practices.


8. Prohibited Products, Services, and Conduct

M I may prohibit or remove listings involving:

Illegal products or services

Misleading financial, legal, medical, safety, or technical claims

Counterfeit goods

Infringing intellectual property

Unsafe or defective products

Products or services that violate applicable law

Spam, scraping, or deceptive lead generation

Unauthorized use of third-party trademarks, images, or copyrighted material

False reviews, fake testimonials, or manipulated proof points

Misrepresentation of credentials, experience, certifications, or outcomes

Attempts to redirect customers outside approved M I processes to avoid commissions or fees

Harassment, abuse, or unprofessional conduct

Any product, service, or conduct M I determines may harm its users, reputation, partners, or platform

M I reserves the right to make final determinations on what is allowed.


9. Pricing, Payments, Commissions, and Fees

Some Vendor offers may be sold through M I checkout, WooCommerce, WCFM, or another approved platform system. Other offers may be inquiry-based, referral-based, affiliate-based, or completed outside M I checkout.

Commission rates, platform fees, referral fees, payment timing, and revenue-share arrangements may vary by Vendor, product type, offer type, membership level, storefront status, or separate written agreement.

Unless otherwise agreed in writing, M I may deduct or account for:

Platform commissions

Payment processing fees

Refunds

Chargebacks

Discounts

Taxes

Affiliate or referral fees

Promotional fees

Administrative adjustments

Other costs associated with the transaction

Vendor earnings, if any, will be calculated according to the applicable commission or revenue-share terms shown in the Vendor dashboard, membership plan, product setup, or separate agreement.

M I may adjust commissions or payments to correct errors, refunds, disputes, chargebacks, fraud, tax treatment, or policy violations.


10. Coupons, Discounts, and Promotions

M I may create or approve discounts, coupons, promotional offers, featured placements, sponsored campaigns, bundled offers, newsletter promotions, or special marketplace campaigns.

Unless otherwise agreed:

M I controls platform-wide promotions

Vendors may not create unauthorized coupons or discounts

Commission may be calculated after applicable discounts

M I may determine whether a product or service is eligible for promotional placement

Vendors may request promotions, but approval is at M I’s discretion


11. Taxes

Vendors are responsible for understanding and satisfying their own tax obligations related to income, sales, use, VAT, GST, employment, contractor, business, or other taxes.

M I may collect, remit, withhold, report, or account for certain taxes where required by law or platform configuration.

Tax treatment may vary depending on:

Product type

Vendor location

Buyer location

Marketplace structure

Merchant-of-record status

Payment processor rules

Applicable law

Nothing in these Vendor Terms constitutes tax advice. Vendors should consult their own tax advisors.


12. Refunds, Chargebacks, and Disputes

M I may establish refund, return, cancellation, dispute, and chargeback policies for marketplace transactions.

Unless otherwise agreed, M I retains authority to decide how customer refunds, chargebacks, disputes, or complaints are handled for transactions processed through M I checkout.

Vendor earnings may be reduced, reversed, delayed, or withheld for:

Refunds

Chargebacks

Failed delivery

Customer disputes

Fraud concerns

Policy violations

Incomplete services

Misdescribed products

Unresolved complaints

Vendors are expected to cooperate promptly with M I in resolving customer issues.


13. Fulfillment and Delivery

Vendors are responsible for fulfilling their approved products, services, downloads, training, workshops, consulting packages, or other offers according to the published description and applicable agreement.

For digital downloads, Vendors must ensure files are accurate, complete, functional, lawful, and free from malicious code.

For services, Vendors must clearly define scope, deliverables, timelines, limitations, buyer responsibilities, and any exclusions.

For physical products, Vendors may be responsible for inventory, shipping, handling, warranty, returns, product safety, and compliance, depending on the offer structure and separate agreement.


14. Customer Communications and Data

M I may provide Vendors with limited customer or order information when necessary to fulfill a product or service.

Vendors may use customer information only for the purpose of fulfilling the relevant transaction, responding to an approved inquiry, or otherwise performing authorized activities related to M I.

Vendors may not:

Add M I customers to unrelated email lists without proper consent

Sell, rent, or share customer data

Use customer data for unrelated marketing

Contact customers in a misleading or unauthorized way

Bypass M I commission, referral, or tracking systems

Misrepresent the relationship between the Vendor and M I

Vendors must comply with applicable privacy, data protection, marketing, email, and consumer protection laws.


15. Content, Intellectual Property, and License to M I

Vendors retain ownership of content they own and submit to M I, subject to the license granted below.

By submitting content, images, logos, product descriptions, biographies, articles, videos, downloads, testimonials, proof points, trademarks, or other materials, Vendors grant M I a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, edit, format, excerpt, promote, and publish those materials in connection with:

Product pages

Articles

Newsletters

Social media

Search visibility

Advertising

Promotional campaigns

Marketplace operations

Partner or affiliate promotions

Internal operations

Vendors represent that they have all necessary rights to submit and authorize use of such materials.

M I retains ownership of its platform, page designs, templates, editorial structure, branding, copy created by M I, marketplace configuration, storefront layouts, badges, taxonomies, data structures, internal systems, and proprietary materials.


16. Badges, Status, and Network Positioning

M I may display badges, levels, trust indicators, labels, categories, or positioning language associated with Vendors.

Examples may include:

Expert Contributor

Verified Expert

Senior Expert

Lead Expert

Strategic Partner

Approved Storefront

Other M I-created labels

Badges and status levels are determined by M I and may be changed, removed, upgraded, downgraded, or discontinued at M I’s discretion.

A badge does not guarantee sales, leads, rankings, endorsements, exclusivity, or ongoing participation.

Vendors may not falsely claim an M I badge, level, endorsement, approval, or partnership status.


17. Articles, Editorial Content, and Contributions

Vendors may be invited to submit articles, insights, interviews, podcasts, videos, or other content.

M I retains editorial discretion over all content published on MfgInternational.com or related channels.

M I may edit content for:

Clarity

Accuracy

Length

Style

SEO/AEO

Audience fit

Legal or compliance concerns

Brand consistency

Publication of content does not guarantee storefront approval, product approval, search rankings, traffic, leads, or sales.


18. Platform Visibility and Promotional Placement

M I may promote Vendors, storefronts, products, articles, podcasts, or offers through internal links, category pages, newsletters, social media, search optimization, featured areas, paid placements, sponsored campaigns, or other distribution channels.

M I does not guarantee:

Traffic

Rankings

Sales

Leads

Inquiries

Conversions

Revenue

Search engine indexing

AI search visibility

Newsletter performance

Social media performance

Ongoing placement

Promotional visibility may be changed or removed at any time.


19. External Links, Affiliate Offers, and Referrals

Some Vendor offers may link to external websites, affiliate programs, partner sites, booking tools, or third-party checkout systems.

Vendors are responsible for ensuring external links are accurate, safe, lawful, and consistent with the approved offer.

M I may use tracking links, referral parameters, affiliate links, attribution systems, cookies, or other mechanisms to track referrals, commissions, or performance.

Vendors may not intentionally remove, bypass, interfere with, or manipulate M I tracking or commission systems.


20. Compliance with Laws and Industry Standards

Vendors are responsible for complying with all laws, regulations, standards, and rules applicable to their products, services, marketing, claims, professional advice, export/import activities, safety requirements, intellectual property, tax obligations, privacy practices, and customer communications.

Vendors offering professional, financial, legal, technical, safety, engineering, compliance, HR, medical, or other regulated services are responsible for maintaining required licenses, qualifications, disclaimers, and standards.

M I does not independently verify all Vendor claims and does not assume responsibility for a Vendor’s professional advice, deliverables, compliance, or representations.


21. Confidentiality

Vendors may receive non-public information from M I, customers, partners, or other participants.

Vendors agree to protect confidential information and use it only for authorized purposes.

Confidential information may include:

Customer details

Pricing terms

Commission terms

Business strategy

Technical information

Platform processes

Partner information

Unpublished content

Private communications

Vendor dashboards

Sales or performance data

Vendors may not disclose confidential information unless authorized by M I or required by law.


22. No Guarantee of Results

M I provides a platform for visibility, content, commerce, discovery, and marketplace participation.

M I does not guarantee:

Sales

Revenue

Leads

Rankings

Traffic

Inquiries

Customer interest

Ongoing approval

Specific placement

Return on investment

Vendor success depends on many factors, including offer quality, market demand, pricing, positioning, fulfillment, content, timing, and customer needs.


23. Suspension, Removal, and Termination

M I may suspend, restrict, or terminate a Vendor’s participation at any time if M I determines the Vendor has:

Violated these Vendor Terms

Submitted inaccurate or misleading information

Failed to fulfill obligations

Created customer complaints

Misused customer data

Violated law or platform policy

Harmed the M I brand

Attempted to bypass commissions or tracking

Engaged in unprofessional conduct

Created legal, reputational, operational, or security risk

Upon suspension or termination, M I may remove or disable vendor dashboards, storefronts, products, listings, badges, content, promotional placements, and related access.

Amounts owed, if any, may be withheld or adjusted to account for refunds, chargebacks, disputes, policy violations, or unresolved obligations.


24. Relationship of the Parties

Vendors are independent businesses, contractors, professionals, or third-party providers.

Nothing in these Vendor Terms creates an employment, agency, franchise, joint venture, partnership, fiduciary, or exclusive relationship between the Vendor and M I unless separately agreed in writing.

Vendors may not represent that they are employees, agents, legal representatives, or authorized decision-makers of M I.


25. Indemnification

Vendor agrees to indemnify, defend, and hold harmless Manufacturing International, MfgInternational.com, Russell’s Group, LLC, their owners, officers, employees, contractors, partners, affiliates, successors, and assigns from and against any claims, losses, liabilities, damages, costs, expenses, disputes, penalties, fines, or attorney fees arising out of or related to:

Vendor products or services

Vendor content or claims

Breach of these Vendor Terms

Violation of law

Customer disputes

Intellectual property infringement

Misuse of customer data

Professional advice or deliverables

Failure to fulfill orders or services

Taxes owed by Vendor

Unauthorized representations

Vendor negligence or misconduct


26. Limitation of Liability

To the fullest extent permitted by law, M I shall not be liable for indirect, incidental, consequential, special, punitive, exemplary, or lost-profit damages arising out of or related to Vendor participation, storefronts, product listings, platform use, marketplace transactions, visibility, rankings, customer activity, account suspension, or removal from the platform.

M I’s total liability to any Vendor shall not exceed the amount of platform fees actually retained by M I from that Vendor’s transactions during the three months preceding the claim, unless otherwise required by law or separate written agreement.


27. Changes to These Vendor Terms

M I may update these Vendor Terms from time to time.

Updated terms may be posted on MfgInternational.com or otherwise communicated to Vendors.

Continued participation after updated terms are posted or provided constitutes acceptance of the revised terms.

If a Vendor does not agree to updated terms, the Vendor must stop using the vendor dashboard and notify M I.


28. Governing Law

These Vendor Terms shall be governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law principles, unless a separate written agreement states otherwise.

Any disputes shall be handled in the state or federal courts located in Kentucky, unless otherwise required by applicable law or separate written agreement.

By applying for, registering as, accessing, or participating as a Vendor, Storefront Holder, expert, seller, partner, or contributor on MfgInternational.com, you acknowledge that you have read, understood, and agree to these Vendor & Storefront Holder Terms and Conditions.
